1. Intellectual Property (IP) and Licensing
1.1. Ownership of Produced Artwork: The Organiser Visible Pixels PTY LTD shall retain all copyright and other intellectual property rights in the Final Produced Artwork. The Entrant acknowledges and agrees that submission of a Brief to the Organiser and the subsequent production of the Final Produced Artwork does not transfer ownership of the copyright in that produced artwork to the Entrant.
1.2. Licence to the Winner (Entrant): Upon being declared the Winner, the Entrant is granted a non-exclusive, non-transferable licence to reproduce and print the Final Produced Artwork solely through the Organiser, unless an alternative written arrangement is explicitly agreed upon by the Organiser. Any attempt by the Winner to reproduce or print the Final Produced Artwork through any other party without the Organiser’s prior written consent shall constitute a breach of this agreement and an infringement of the Organiser’s copyright.
1.3. Organiser’s Promotional Rights: The Entrant grants the Organiser an irrevocable, non-exclusive, royalty-free, worldwide licence to use, reproduce, publish, and communicate the Final Produced Artwork and the Winner’s name, city, and state of residence for any purpose, including but not limited to the Organiser’s promotional, marketing, and advertising activities on its website, social media accounts, and in print.
2. Entrant’s Warranties and Indemnity
2.1. Entrant’s Submitted Materials: The Entrant warrants and represents that they are the sole owner of all copyright and other intellectual property rights in any Briefs, materials, or initial artwork concepts provided to the Organiser for the purpose of creating the Final Produced Artwork.
2.2. Indemnity for Submitted Materials: The Entrant agrees to indemnify the Organiser against all claims, costs, damages, and liabilities incurred by the Organiser as a result of any third-party claim that the Briefs, materials, or initial artwork concepts supplied by the Entrant infringe upon the copyright or other intellectual property rights of any other person.
3. Organiser’s Warranty
3.1. Copyright Non-Infringement: The Organiser warrants that the Final Produced Artwork, as created and delivered by the Organiser, shall not knowingly infringe the copyright or moral rights of any third party
